1. Ownership and Purpose of the Website

This Website (“Website”) is owned and operated by DNAlyse OÜ, a company registered in Estonia (registry code: 17215667), with its registered office in Tallinn (“DNAlyse”). GenSeqTech is a proprietary software platform developed, owned, and operated by DNAlyse. All intellectual property, algorithms, and technology associated with the GenSeqTech platform are the exclusive property of DNAlyse.

The Website provides information about GenSeqTech for professional audiences — research institutions, clinical laboratories, biotechnology and pharmaceutical companies, sequencing providers, and other organizational partners. The Website is strictly business-to-business (B2B) in nature and does not target, and is not intended for, individual consumers or patients.

2. Nature of the Platform and Current Stage

GenSeqTech is an on-premise genomic secondary analysis software platform that converts raw sequencing data (FASTQ/BAM/CRAM) into variant calls and clinical-grade reports. DNAlyse is a software provider: it develops and licenses the GenSeqTech platform but does not itself perform genetic testing, sequencing, diagnostic interpretation, or any other genetic analysis service. Where the platform is deployed, all analysis is carried out by the licensee, using its own infrastructure, personnel, and data.

GenSeqTech is currently at an early stage of development. DNAlyse does not currently offer GenSeqTech as a generally available commercial service, and the information on this Website is provided for general informational purposes only — it does not constitute an offer, solicitation, or commitment to supply software or services. Any pilot, evaluation, or licensing arrangement with a specific organization is governed exclusively by a separate written agreement between DNAlyse and that organization, and not by this Website or these Terms.

3. Use of the Website and Future Services

Access to the GenSeqTech platform, when and where commercially available, will be offered strictly on a B2B basis to qualified professional entities — including research institutions, clinical laboratories, biotechnology and pharmaceutical companies, and sequencing or diagnostic providers. GenSeqTech is not, and will not be, offered directly to individual consumers or patients. DNAlyse reserves the right to decline to engage, or to discontinue engagement, with any entity that does not meet applicable professional, ethical, or legal requirements.

When licensed, the GenSeqTech software is designed for on-premise deployment: it is installed on the Client’s own local servers and operates entirely within the Client’s network. The Client is responsible for its own hardware, server security, and local network environment. No genetic sequences (FASTQ/BAM/VCF) or generated reports are transmitted to DNAlyse or to any third party; reports are generated and retained locally by the Client.

4. Intellectual Property

All intellectual property rights in the Website and in the GenSeqTech platform — including its structure, design, text, images, source code, algorithms, and underlying technology — are the exclusive property of DNAlyse or its licensors. Unauthorized use, reproduction, or distribution of this content without DNAlyse’s prior written consent is strictly prohibited.

5. Disclaimer of Liability

The information on this Website is provided “as is,” for general informational purposes, and without warranty of any kind. As GenSeqTech is not yet generally commercially available, DNAlyse makes no representation that the platform is currently available for purchase, license, or clinical use.

Where GenSeqTech software has been licensed and deployed by a Client, DNAlyse shall not be liable for clinical decisions or medical interpretations derived from the software’s output, for data security incidents occurring on the Client’s own infrastructure, or for misuse of the software by the Client’s personnel. To the maximum extent permitted by law, DNAlyse disclaims liability for any direct or indirect damages arising from reliance on this Website, except as otherwise set out in a signed licensing agreement.

6. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from the use of the Website shall be subject to the exclusive jurisdiction of the Estonian courts.
