These Terms & Conditions apply to this Website and the services facilitated through it.

1. Ownership and Purpose of the Website

This website (“Website”) is operated by DNAlyse OÜ, a company registered in Estonia (registry code: 17215667), with its registered office in Tallinn. DNAlyse OÜ (“DNAlyse”) acts solely as a facilitator, offering access to genetic analysis services conducted by certified and compliant third-party providers. DNAlyse does not engage in the provision of genetic services itself and does not access or process any personal data. The Website aims to provide information for professional partners such as sub-distributors, medical professionals, and researchers regarding the facilitation of genetic analysis services. GenSeqTech is a proprietary software brand owned and operated by DNAlyse. All intellectual property, algorithms, and technology associated with the GenSeqTech platform are the exclusive property of DNAlyse.

2. Nature of the Services

DNAlyse offers access to genetic analysis services performed entirely by a third-party provider operating in full compliance with applicable EU data protection and healthcare regulations. While DNAlyse ensures the quality and legal compliance of its partners, all genetic analysis, data collection, processing, and storage are the sole responsibility of the third-party provider. GenSeqTech is an advanced genomic secondary analysis software. DNAlyse, through the GenSeqTech platform, provides the tools for data processing but does not provide medical diagnoses or laboratory sequencing services.

3. Confidentiality of Third-Party Provider

For competitive and commercial confidentiality reasons, DNAlyse does not publicly disclose the identity of its third-party service provider. However, under Article 14(5)(b) of the GDPR, DNAlyse will disclose this information upon legitimate and reasonable request.

4. Use of the Services

The genetic analysis services are available only through B2B partnerships. These services are not intended for direct consumer use. DNAlyse reserves the right to refuse access or to terminate cooperation with any entity that violates the professional, ethical, or legal terms established herein.

The GenSeqTech software is designed for On-Premise Deployment. Upon licensing, the software is installed directly onto the Client’s in-house servers. The Client is responsible for maintaining the hardware, server security, and local network environment.

The No-Access infrastructure of our technology is built on a zero-knowledge framework. Once installed, the GenSeqTech software operates entirely within the Client's firewall. DNAlyse has no access to the data processed by the Client. No genetic sequences (FASTQ/BAM/VCF) or final reports are transmitted back to DNAlyse or any third party. The Client generates all reports locally.

5. Intellectual Property

All intellectual property rights related to the Website, including its structure, design, text, images, and software, are the exclusive property of DNAlyse or its licensors. Unauthorized use, reproduction, or distribution of the content without prior written consent is strictly prohibited. GenSeqTech is a platform intended for use by medical professionals, researchers, and clinical laboratories. DNAlyse facilitates the licensing and technical setup for these professional entities.

6. Disclaimer of Liability

DNAlyse shall not be held responsible for any direct or indirect damages arising from the use of services facilitated through the Website. Since DNAlyse does not access or process personal or genetic data, any liability or claims must be directed to the actual provider of the services.

As the GenSeqTech software is operated locally by the Client, DNAlyse shall not be held liable for clinical decisions or medical interpretations derived from the software, data security breaches occurring on the Client's internal infrastructure, or misuse of the software by unauthorized personnel within the Client's organization.

7. Governing Law and Jurisdiction

These Terms shall be governed and interpreted under the laws of the Republic of Estonia. Any disputes arising from the use of the Website or services shall be subject to the exclusive jurisdiction of Estonian courts.
